Bestway Cement Limited (“BCL”) is committed to conducting its business with integrity, honesty, transparency and respect for people. Our Code of Ethics and Business Conduct establishes the standards expected from our employees and other individuals and organizations associated with BCL, including contractors, suppliers, vendors and other business partners.
1. Integrity and Compliance with Laws
We are committed to conducting our business in compliance with applicable laws, regulations and ethical standards. We expect everyone associated with BCL to act honestly, responsibly and professionally and to avoid conduct that may adversely affect the reputation or interests of the Company.
2. Zero Tolerance for Bribery and Corruption
BCL does not tolerate bribery, corruption, kickbacks or any other improper payment or benefit. No employee or other person acting on behalf of BCL may directly or indirectly offer, give, solicit or accept a bribe or corrupt payment in order to obtain, retain or direct business or secure an improper business advantage.
All business transactions must be conducted honestly, transparently and accurately recorded. Suspected cases of corruption, fraud or other unethical conduct must be reported through the appropriate reporting channels.
3. Gifts, Hospitality and Improper Benefits
Business decisions must never be influenced by personal gifts, favours or other improper benefits. Employees and persons associated with BCL are prohibited from accepting or offering gifts or favours of a nature or value that may improperly influence a business decision or create a relationship of dependency. Gifts, hospitality and other business-related benefits are subject to BCL's internal controls and approval and reporting requirements.
4. Prevention of Fraud and Misconduct
BCL is committed to preventing and addressing fraud, theft, forgery, misrepresentation and other dishonest or unlawful practices. All business transactions and records must be properly, completely, timely and accurately documented. Violations may result in disciplinary action, termination of services and/or legal action, where appropriate.
5. Conflict of Interest
We expect employees and other relevant stakeholders to act in the best interests of BCL and to avoid situations in which personal interests may conflict, or appear to conflict, with their professional responsibilities.
Actual, potential or perceived conflicts of interest must be disclosed in accordance with BCL's applicable procedures so that they can be appropriately reviewed and managed.

BCL is committed to maintaining a workplace based on dignity, respect and equal opportunity. We do not tolerate discrimination, victimisation or unfair treatment on prohibited or inappropriate grounds. 7. Prevention of Harassment and Workplace Violence
BCL does not tolerate harassment, abusive behaviour, intimidation or workplace violence. Any person who experiences or becomes aware of discrimination, harassment, threatening behaviour or violence is encouraged to report the matter through the appropriate Company channels. Such concerns will be addressed in accordance with applicable policies and procedures.
8. Health, Safety and Environmental Responsibility
The health and safety of our employees, contractors and other persons affected by our operations are of fundamental importance to BCL. We expect all individuals to comply with applicable health, safety and environmental rules and procedures, avoid unsafe actions and promptly report dangerous or unsafe conditions. Managers and supervisors have a responsibility to promote a safe and secure working environment and build awareness of workplace risks.
We are also committed to responsible use of resources and encourage measures that reduce waste and minimise our environmental impact.
9. Speaking Up and Whistleblowing
BCL encourages employees and other relevant stakeholders to speak up and report suspected unethical, dishonest, illegal or inappropriate conduct. Concerns relating to misconduct, conflicts of interest, discrimination or harassment may be reported through the appropriate Human Resources channel. Financial fraud, forgery and corruption concerns may be reported to the Internal Audit function or the designated authority. BCL expects reports to be made responsibly and in good faith.
10. Protection Against Retaliation
BCL does not tolerate retaliation against a person who, in good faith, reports suspected dishonest, illegal or unethical activity. The Company is committed to protecting whistleblowers from discrimination or adverse treatment as a result of raising legitimate concerns. The identity of a whistleblower will be treated confidentially in accordance with applicable Company procedures and requirements.
11. Respect for Human Dignity
BCL is committed to ensuring that individuals associated with the Company are treated with dignity and respect. We expect our employees and business partners to uphold professional standards and to avoid conduct that infringes upon the dignity, rights or well-being of others.
12. Responsibility of Employees and Business Partners
Our commitment to ethical business conduct extends beyond employees. The principles of our Code apply to individuals and organizations associated with BCL, including, where applicable, contractors, suppliers, vendors and other business partners.
Employees are expected to understand and comply with the Code, while relevant vendors and service providers are required to acknowledge applicable standards as part of their contractual relationship with BCL.
13. Accountability
Violations of BCL's Code of Ethics and Business Conduct, policies or applicable laws may result in appropriate disciplinary or other action, including termination of services and legal proceedings where applicable.
